PLEASE READ CAREFULLY THE FOLLOWING TERMS OF USE WHICH FORM A LEGALLY BINDING AGREEMENT BETWEEN CLICKSURE PAYMENTS LIMITED ("CLICKSURE", "WE", "US" OR "OURSELVES") AND YOURSELF ACTING AS EITHER "THE SELLER" OR "THE AFFILIATE" AND MAY BE REFERED TO AS "YOU" OR "YOUR" IN THIS AGREEMENT. Please make sure you fully understand the contents of this agreement before accessing or using the CLICKSURE PAYMENTS LIMITED website/platform located at ClickSure.com (the "Website"). If you have any doubts about any of your rights and obligations resulting from entering into this agreement, please consult legal counsel in your jurisdiction.

BY ENTERING INTO THIS AGREEMENT, YOU ACKNOWLEDGE THAT YOU HAVE READ AND AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT AND OUR POLICIES SET OUT IN THE CLICKSURE PAYMENTS LIMITED PRIVACY POLICY. BY ACCESSING AND USING THE WEBSITE/PLATFORM YOU ALSO AGREE TO THE USE OF ELECTRONIC COMMUNICATIONS IN ORDER TO ENTER INTO CONTRACTS, AND YOU WAIVE ANY RIGHTS OR REQUIREMENTS UNDER APPLICABLE LAWS OR REGULATIONS IN ANY JURISDICTION WHICH REQUIRE AN ORIGINAL (NON-ELECTRONIC) SIGNATURE, TO THE EXTENT PERMITTED UNDER APPLICABLE MANDATORY LAW.

IF YOU DO NOT AGREE WITH ANY OF THE TERMS OF THIS AGREEMENT, DO NOT USE OUR SERVICES OR OUR WEBSITE.

The scope of this agreement

Through the use of this Website/Platform, ClickSure.com you agree to give CLICK SURE PAYMEMTS LTD the right to sell your products on your behalf by using our processing partners for immediate resale to customers.

This Agreement covers the arrangements between you and CLICKSURE PAYMENTS LIMITED in relation to buying, selling or promoting Products and Services through ClickSure.com. The relationship between ourselves and our processing partners is wholly separate agreement, and does not form a part of this agreement.

As the resellers of your Products and/or Services, our processing partners hold CLICKSURE PAYMENTS LIMITED fully liable to the contract of sale commitment which we are bound by, including with regard to the Products and/or Services functionality and fitness for the purpose they were sold, the description of the products and services, their performance, characteristics, efficiency or compliance with any representations and warranties made by the Seller or any other third party. CLICKSURE PAYMENTS LIMITED in turn holds the Seller of the products and services on its site liable for any representations and warranties that they make on their websites.

CLICKSURE PAYMENTS LIMITED will supply full billing and customer support for all Products and/or Services sold by you through the ClickSure.com website. CLICKSURE PAYMENTS LIMITED will only forward customers' queries to you, the seller for further assistance if all other avenues of resolution have been expended.

All respective fees and payment terms are clearly defined in this agreement and we hold the right to change these fees at any time without notice. These changes could apply to all Sellers and Affiliates or specific accounts which we find require adjustments.

Digital delivery of products is made directly by you the Seller, in accordance with your delivery policy. Access information for goods must to be clearly visible on the “thank you page URL” you specify in the ClickSure.com seller control panel.

Sale of products and services

1. PRICING, CHARGES AND TAXES

1.1. The current processing currencies are US Dollar, Euro, British Pound Stirling and Chinese Yen. Our default currency is US Dollar, however it is at our discretion which currency we will setting your transaction in. We may charge additional fees associated with the processing non US Dollar currencies.

1.2. All currencies are converted into US Dollar at a rate chosen by us and/or our processing partners. The amount owing to you after transaction, discount and exchange control fees (if applicable) will be displayed in your ClickSure.com control panel.

1.3. Our default fees are charged at a rate of 1 USD per approved transaction plus 15% of the gross transaction value.

1.4. All fees and taxes are removed from the gross processed amount, and then the balance is split between the Seller and the Affiliate based on percentage set by the seller in their control panel.

Sale Example (non taxable jurisdiction): $100 sale, less $1 and $15, equals a balance of $84. If the seller has set the commission payout percentage to 50% an amount of $42 will be shown in each respective account.

When a refund is processed for the above mentioned example, we are required by law to refund the customer the exact amount of money they spent. In this example the customer will receive a refund for $100. Because our processing partners and all acquiring banks do not issue us a refund on the original fees for the sale transaction the liability for this shortfall of funds falls on the seller.

Refund Example (non taxable jurisdiction): $100 is refunded to the customer and if the seller has set the commission payout percentage to 50% an amount of $42 will be deducted from the affiliates account (original value credited) and the balance of $58 will be deducted from the sellers account.

1.3. Separate charges for taxes, to the extent applicable, will appear on the e-mail receipt customers receive once they place their order. You will not receive credit for any funds received from customers relating to taxes.

2. PAYMENT METHODS; CREDIT CHECKS

2.1. The payment methods currently available are: credit/debit cards from Visa and MasterCard.

2.2. Both CLICKSURE PAYMENTS LIMITED and our processing partner will be entitled to make inquiries related to you, including credit checks, with third party credit and financial institutions, in accordance with the information you provide to us, and if we see fit, and at our sole discretion, we shall be entitled to not approve or close your account at any time.

3. NON COMPLIANCE WITH DESCRIPTION AND REPRSENTATIONS

3.1. Sellers are solely responsible for writing the description of the Products and Services offered by them through us, as the authorized reseller, and for any representations and warranties made in connection with them. CLICKSURE PAYMENTS LIMITED will ensure to the best of its ability to verify any representations, warranties or commitments with regard to Products and Services resold through ClickSure.com. There by, CLICKSURE PAYMENTS LIMITED is not liable with regard to the description of the Products and Services by the Seller or any third party and to any representations and warranties made in connection with them, including that they are accurate, complete, reliable, current or error-free.

3.2. If your product and/or service purchased by a customer through the ClickSure.com website is not as described or promised, or is otherwise defective, non-functional, non-compliant or non-satisfactory, you the Seller take sole responsibility for this product and any issues that may arise because of this.

4. RISK OF LOSS OF PRODUCTS

4.1. Shipment and delivery of products are made directly by you the Seller, in accordance with your delivery policy. The risk of loss or damage to Products shall pass to you the Seller as set forth in such delivery policy.

5. WEBSITE ACCESS, RESTRICTIONS ON USE, RESERVATION OF RIGHTS

5.1. You agree to use of the ClickSure.com platform only for lawful purposes.

5.2. As a Seller, you may not use ClickSure.com to sell Products and Services that you do not own or have a license/rights to sell.

5.3. You may not post on or transmit through your website any content, in whatever format, that is (i) defamatory, unlawful, harassing, abusive, obscene, threatening, hateful, sexist or racist; (ii) violates any person's privacy rights; (iii) violates any applicable law, statute, regulations or rules; or (iv) constitutes SPAM or other inappropriate network conduct.

5.4. You may not impersonate any person or entity, including but not limited to any of our officers, directors, employees or representatives, or falsely state or otherwise misrepresent your affiliation with any person or entity.

5.5. You may not use trademarks, service marks and/or trade names that you do not have the necessary rights to, including, but not limited to, images, pictures, graphics, photographs, animations, videos, music, audio and text.

5.6. CLICKSURE PAYMENTS LIMITED and our processing partners will be entitled to inform relevant authorities, other online service providers including banks, credit card companies, electronic payment providers or other financial and government institutions of your identity and of any suspected unlawful, fraudulent or improper activity, and you will cooperate fully with us to investigate any such activity.

5.7. We reserve, at our sole discretion, the right to refuse any request by you to sell your Product and/or Service through ClickSure.com.

5.8. Notwithstanding anything stated or implied to the contrary in this Agreement, at any time, without prior notice to you and without derogating from our other rights under this Agreement, we may terminate your account if we suspect or believe that you are in breach of any of the terms and conditions of this Agreement, or that you may be engaging in or have engaged in fraudulent, unlawful, or improper activity, including without limitation any violation of anti money-laundering rules and regulations.

5.9. Please note that we reserve the right to save any kind of customer data provided to us when either signing up to the ClickSure platform of by placing an order through the ClickSure.com order page. All customer's data, including personal data may be provided to Financial Institutions and our processing partners or any other third party as required. We reserve the right to use customer data for further contact with in any matter at our sole consideration using internal or 3rd party platforms, including matters as new offers, new campaigns, new Products and Services, etc.

6. LICENSE

6.1. We hereby grant you a limited, personal, non-exclusive, non-transferable, revocable, license to access and make use of the ClickSure.com platform.

6.2. You are not permitted to and will not permit or assist others to:

6.2.1. copy, adapt, modify, create derivative works based on, translate or otherwise modify website content;

6.2.2. enter, access or attempt to enter or access or otherwise bypass the applicable security system or interfere in any way (including but not limited to robots and similar devices) on the ClickSure.com website or the Content, or attempt to make any changes to the Website or the Content and/or any features or components thereof.

7. CUSTOMER REFUNDS

7.1 Our Customer Protection Policy states that all products sold through the ClickSure Platform are sold with a full 60 Day Anytime Money Back Guarantee.

7.2. Customers requesting a refund are required to complete the refunds request form through www.clicksuresupport.com.

8. CHANGES TO THIS AGREEMENT AND THE PRIVACY POLICY

8.1. We may amend any of the terms and conditions contained in this Agreement at any time and in our sole discretion.

9. MISCELLANEOUS

9.1. The construction, validity and performance of this Agreement will be governed by Mauritian law. The competent court in Mauritius will have exclusive jurisdiction in any matter arising from or related to this Agreement. However, this shall not prevent us from bringing any action in the court of any other jurisdiction for injunctive or similar relief. The English language version of this Agreement will prevail over any other language version issued by us.

9.2. The illegality, invalidity or enforceability of any provision of this Agreement will not affect the legality, validity or enforceability of the remaining provisions of this Agreement.

9.3. CLICKSURE PAYMENTS LIMITED may transfer, assign, sublicense or pledge this Agreement, in whole or in part, to any person or entity without notice, and you will be deemed to have given your consent to any such assignment.

Refund Policy

As a leading online retailer, ClickSure takes customer service and satisfaction very seriously. To ensure customer satisfaction with every purchase, we have created what we call our 'ClickSure Consumer Promise'.

Basically, if you are not satisfied with ANY Clicksure purchase, we will issue a full refund, within 60 Days. We believe this is one of the most comprehensive refund guarantees available for online purchases. More importantly, all sellers using ClickSure to process payments for their products must operate by using this guarantee. No exceptions means whatever you buy from us, you're covered.

ClickSure sellers are not permitted to make any guarantee that conflicts with the ClickSure Consumer Promise. This is very important for you as it ensures peace of mind when purchasing across the whole of the Clicksure community. In fact we feel so strongly about this, if you find a product that is being sold through ClickSure with any guarantees or warranties that conflicts with our Consumer Promise, please report it to us so that we may take corrective action.

ClickSure's Product Refund Policy

ClickSure will, in its sole and absolute discretion, allow for the refund, fix or replacement of any product purchased using our services within 60 days from the date of purchase. For recurring subscription billing products, refunds for more than one payment may be provided if requested within the standard 60 day refund period.

Customers requesting a refund after 60 days will be required to work directly with the Seller for technical support or customer service. ClickSure Sellers may request a return, on behalf of a customer, of any purchase up to 90 days after the date of the ClickSure customer's purchase.

If a customer requests a refund and it is approved by ClickSure, the money for the requested transaction is refunded back to the customer, in part or whole. If the refund is for a recurring billing product, then the refund policy allows for the most recent payment to be refunded. Multiple payments can be refunded as long as they are within ClickSure's 60 day refund period. A refund on a recurring billing product will also result in cancellation of the billing subscription. Refunds will only be credited back to the account or card used to make the original purchase. If the original account has been closed, the purchase is not eligible for a refund.

If the seller of the product requests a return on the customer's behalf within 90 days of purchase if our customer service team confirms there is a valid reason for the return. Provided a valid report that the charge was fraudulent or unauthorized. For any other reason ClickSure Support deems appropriate.

ClickSure's Cancellation Policy

A customer may cancel a product with recurring billing subscriptions at any time. The cancellation of a subscription means that no future payments will be charged. (Please note that the cancellation of a recurring billing product does not generate a refund.)
